1. Agreement
By accessing valerie.ng, seller subdomains, creating an account, listing products, or completing a purchase, you agree to these Terms & Conditions and our Privacy Policy. If you do not agree, do not use the platform.
2. What Valerie is (and is not)
Valerie ("we", "us", "our") provides online storefront, discovery, and checkout technology that connects independent merchants ("sellers", "merchants") with buyers. Unless we explicitly say otherwise in writing for a specific offer, Valerie is not the seller of any third-party listing, not a warehouse or logistics company, and not a party to the contract of sale between buyer and merchant.
- No goods: We do not own, store, inspect, ship, or deliver products listed on merchant stores. Physical and digital fulfilment is the merchant's sole responsibility.
- No customer funds held by Valerie: Valerie does not hold buyer money in escrow or operate as a deposit-taking institution. Checkout payments are processed by Wavy and partner banks/payment rails according to their terms, and settled to the merchant's verified account (or handled as disclosed for bank-transfer flows). Valerie may charge separate platform, subscription, or boost fees as shown in your dashboard.
- Marketplace only: Your purchase contract is with the merchant whose store you buy from. Valerie provides order records, receipts, and reasonable dispute-support tools but does not guarantee merchant performance.
3. Eligibility
- You must be at least 18 years old (or have legal guardian consent where permitted) to transact.
- Sellers must provide accurate business, tax, and settlement information and comply with laws in their market.
- You may not use Valerie for unlawful goods, fraud, counterfeit items, or prohibited categories (see our policies and listing rules).
4. Merchant obligations (sole responsibility)
Merchants are solely responsible for their store and every listing. This includes, without limitation:
- Accuracy of titles, prices, condition, photos, availability, and delivery or service timelines.
- Packaging, shipping, delivery, pickup, digital delivery, returns, refunds, and after-sales support.
- Compliance with consumer protection, tax, licensing, and product-safety laws applicable to their goods and services.
- Settlement and bank accounts that belong to the merchant or their registered business.
- Advertising, boost, and sponsored placements β including compliance with Meta, TikTok, and other partner policies where used.
- Intellectual property: Merchants must own or have permission to use all text, images, video, music, trademarks, and other content in listings and storefronts. Merchants must not infringe third-party copyright, trademark, privacy, or other rights.
5. Buyer obligations
- Provide correct contact and delivery details; confirm merchant policies before paying.
- Pay using approved methods (Wavy checkout or merchant bank transfer where offered and verified).
- Resolve delivery and product issues with the merchant first; use Valerie dispute channels when needed.
- Do not misuse chargebacks or payment disputes after receiving goods or services in line with stated policy.
6. Payments & fees
- Buyer payments for orders are processed by Wavy and/or partner banks β not held in Valerie-operated customer accounts. Bank transfers, where offered, are paid to accounts designated for the merchant as shown at checkout.
- Valerie subscription, verification, boost, and platform fees are separate charges disclosed before you pay them.
- Display prices may be shown in the merchant's checkout currency or converted for shopping display; the amount charged at checkout is shown before you confirm payment.
- Valerie is not responsible for payment-processor outages, bank delays, or incorrect merchant payout details supplied by the merchant.
7. Delivery & fulfilment
Delivery methods, costs, timelines, and risk of loss in transit (unless otherwise required by applicable law) are determined by the merchant's stated policies and your agreement with them. Valerie does not provide courier services, does not insure shipments, and does not guarantee delivery dates. Tracking links or logistics integrations shown on the platform are tools for merchants and buyers; they do not make Valerie the carrier or bailee of goods.
8. Prohibited conduct
- Fake payment proofs, chargeback abuse, or account sharing for fraud.
- Scraping, reverse engineering, or interfering with platform security (except responsible disclosure to security@valerie.ng).
- Harassment, hate speech, misleading advertising, or impersonation of Valerie or other brands.
- Circumventing fees by directing buyers off-platform after discovery on Valerie.
- Listing or selling prohibited or infringing content (see contraband and IP rules).
9. Intellectual property β Valerie
The Valerie name, logos, software, website design, and platform content (excluding merchant listings) are owned by Valerie or our licensors and protected by copyright, trademark, and other laws. You may not copy, modify, or use our branding except as allowed in writing or for good-faith reference to our service. Third-party names (e.g. Wavy, Flutterwave, Google, Meta) belong to their respective owners; Valerie uses them descriptively where integrated.
10. Intellectual property β merchant content & takedowns
Merchants retain ownership of their listing content but grant Valerie a non-exclusive, worldwide licence to host, display, promote, and technically process that content to operate the marketplace (including stories, search, and boosts).
If you believe content on Valerie infringes your copyright or trademark, email legal@valerie.ng with: (a) your contact details, (b) identification of the work or mark, (c) the listing URL(s), and (d) a good-faith statement and signature. We may remove or disable access to disputed material and notify the merchant. Repeat infringers may be suspended. Counter-notices may be submitted where applicable law allows.
11. Merchant indemnity
To the extent permitted by law, merchants agree to indemnify and hold Valerie harmless from claims, losses, and costs (including reasonable legal fees) arising from their listings, products, fulfilment, tax obligations, or infringement of third-party rights, except where caused by Valerie's intentional misconduct.
12. Suspension & termination
We may suspend or terminate accounts that violate these terms, pose fraud or safety risk, or receive repeated valid complaints. You may close your account subject to settling outstanding orders and fees. Termination does not erase merchant obligations to buyers for orders already placed.
13. Limitation of liability
Valerie is provided "as is". To the fullest extent permitted by Nigerian law, Valerie is not liable for merchant non-delivery, product defects, misdescription, delivery delays, or payment-partner actions beyond our reasonable control. Our total liability for platform services to you is limited to fees you paid directly to Valerie in the twelve (12) months before the claim.
14. Governing law
These terms are governed by the laws of the Federal Republic of Nigeria. Disputes should first be raised through Valerie support at legal@valerie.ng; unresolved matters may be referred to competent courts in Nigeria, without prejudice to mandatory consumer rights in your country of residence where they apply.
